Welcome to VICIdial Cloud. These Terms of Use (“Terms”) govern your access to and use of our cloud-hosted VICIdial call-center platform and related services (the “Platform” or “Services”). By registering, subscribing, or otherwise using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.
1. Eligibility & Account Registration
1.1 Eligibility. You must be at least 18 years old and have authority to enter into a binding agreement.
1.2 Account. To use the Platform, you must register for an account with accurate, complete information and keep it updated. You are responsible for safeguarding your credentials and all activity under your account.
2. Subscription Plans, Billing & Free Trial
2.1 Subscription. Our Services are offered on a subscription basis—Self Managed Power or Fully Managed Power—billed monthly or annually as selected.
2.2 Free Trial. New customers may receive a 7-day free trial. At trial end, you will be billed automatically unless you cancel before expiration.
2.3 Payment. You authorize us to charge your credit card or other payment method on file. All fees are non-refundable, except as required by law or as expressly stated in writing.
3. License & Use Restrictions
3.1 License. Subject to these Terms and timely payment of fees, VICIdial Cloud grants you a limited, non-exclusive, non-transferable right to access and use the Platform for your internal business purposes.
3.2 Restrictions. You may not:
- Reverse-engineer, decompile, or modify the Platform.
- Share login credentials or allow unauthorized third parties to access the Platform.
- Use the Platform to transmit unlawful, harassing, or malicious content.
- Circumvent any security or usage limitations.
4. Data Ownership & Privacy
4.1 Your Data. You retain ownership of all data, call recordings, transcripts, and configurations you upload or generate in the Platform (“Your Data”).
4.2 Our Processing. We process Your Data solely to provide and improve the Services, as described in our [Privacy Policy].
4.3 Backups. We perform automated backups; you remain responsible for maintaining copies of critical data per your retention policy.
5. Third-Party Integrations
The Platform offers integrations with CRMs, Zapier, telephony providers, and other services. Your use of third-party services is subject to the provider’s terms. We are not responsible for third-party performance or availability.
6. Support & Service Levels
6.1 Support. Self Managed Power plans include email & ticket support. Fully Managed Power plans include phone, Skype, and screen-share support.
6.2 Uptime. We aim for 99.9% uptime. Scheduled maintenance will be communicated in advance; emergency maintenance may occur without notice.
7. Intellectual Property
All intellectual property rights in the Platform, documentation, and trademarks (“VICIdial Cloud IP”) are owned by or licensed to VICIdial Cloud. You may not copy, distribute, or create derivative works without our prior written consent.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other that is clearly marked or reasonably understood to be confidential. This obligation survives termination of these Terms.
9. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. VICIdial Cloud DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VICIdial CLOUD’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE PRIOR SIX MONTHS. IN NO EVENT SHALL VICIdial CLOUD BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES.
11. Indemnification
You agree to defend, indemnify, and hold harmless VICIdial Cloud and its affiliates from any third-party claim arising out of your use of the Platform in violation of these Terms or applicable law.
12. Termination
12.1 By You. You may cancel your subscription at any time via your account dashboard. Cancellation takes effect at the end of your current billing period.
12.2 By Us. We may suspend or terminate your access for non-payment, breach of these Terms, or unlawful use, with notice where required.
12.3 Effect of Termination. Upon termination, your right to access the Platform ceases; we may delete Your Data after a 30-day grace period.
13. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance via email or in-app notification. Continued use after the effective date constitutes acceptance.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California (excluding conflicts rules). Any dispute will be resolved in the state or federal courts in San Francisco County, California.
